Hanmi Financial Corporation ( Hanmi Financial, the Company, we, us or our ) is a Delaware corporation incorporated in 2000 to be the holding company for Hanmi Bank (the Bank ) and is subject to the Bank Holding Company Act of 1956, as amended (the BHCA ). Hanmi Bank, the primary subsidiary of Hanmi Financial, is a state-chartered bank incorporated under the laws of the State of California in 1981, and licensed pursuant to the California Financial Code. The Bank’s deposit accounts are insured under the Federal Deposit Insurance Act up to applicable limits thereof. The California Department of Financial Protection and Innovation (the DFPI ) is the Bank’s primary state bank regulator and the FDIC is its primary federal regulator.
