Pegasus TopCo B.V. was incorporated as a Dutch private limited liability corporation ( besloten vennootschap met beperkte aansprakelijkheid ) on February 7, 2023, and converted to a Dutch public limited liability company ( naamloze vennootschap ) and renamed SCHMID Group N.V. on April 30, 2024. As part of the Business Combination, the Company changed its legal form to a public limited liability company ( naamloze vennootschap ). The Company is subject to certain of the informational filing requirements of the Exchange Act. Since the Company is a foreign private issuer , it is exempt from the rules and regulations under the Exchange Act prescribing the furnishing and content of proxy statements, and the officers, directors and principal shareholders of the Company are exempt from the reporting and short-swing profit recovery provisions contained in Section 16 of the Exchange Act with respect to their purchase and sale of SCHMID Ordinary Shares. In addition, SCHMID is not required to file reports and financial statements with the SEC as frequently or as promptly as U.S. public companies whose securities are registered under the Exchange Act. However, SCHMID is required to file with the SEC an Annual Report on Form 20-F containing financial statements audited by an independent accounting firm.
